BELIBELI SUPER APP MERCHANT TERMS AND CONDITIONS

These Terms and Conditions ("Agreement") are made by and between Belibeli Super App by Solaku Sdn Bhd (company registration 1280947-P) ("Belibeli"), and the Merchant as signed at the end of this document. Belibeli and Merchant may each be referred to individually as a "Party" or collectively as the "Parties."

FEES AND PAYMENT TERMS

  • Subscription Fee (per outlet) - RM100 per month or RM1,000 per year (non-refundable).

  • Sales Commission - 0%

  • Transaction Fees - A 3% banking fee applies to online payments processed through the platform. No charge for Cash on Delivery (COD) or QR Pay on delivery

  • Payment Cycle - Payments for online transactions will be deposited into the Merchant’s wallet and can be withdrawn within 24-48 hours on working days, subject to bank processing times.

1. PLATFORM ROLE

Belibeli acts as an agent to connect merchants with customers through the Belibeli platform.

2. MERCHANT RESPONSIBILITIES

The Merchant agrees to:
a.    Maintain accurate, up-to-date product/service information, including pricing and availability. Merchants must notify Belibeli at least 7 days in advance of any changes to their products, services, or pricing.
b.    Operate the business according to fixed hours set on the platform and ensure the business is disabled during holidays or off days. Seasonal or random operating times are not accepted as they affect logistics and customer satisfaction.
c.    Ensure quality control of all products/services to meet customer expectations.
d.    Handle customer interactions professionally to ensure customer satisfaction and encourage repeat business.
e.    If the subscription fee is not paid, the Merchant's account will be suspended or blocked until payment is made. Once payment is made, the account will be reactivated automatically.

3. MARKETING USE

Belibeli reserves the right to use the Merchant’s business name, logo, and marketing materials for promotional purposes on its platform and social media channels.

4. INTELLECTUAL PROPERTY

The Merchant allows Belibeli to use their trademarks and logos for promotion, without any fees.

5. PROHIBITED ITEMS

The Merchant agrees not to sell prohibited items, including:

  • Items banned under Malaysian law.

  • Adult content, alcohol, and tobacco.

  • Easily perishable items, such as ice cream.

Oversized items unsuitable for motorcycle or car delivery, such as large appliances (e.g., TVs, refrigerators) or furniture.

6. LIABILITY AND CUSTOMER SERVICE

The Merchant is responsible for:

  • Handling Complaints: Belibeli will help with initial customer complaints about incorrect or missing products. However, it is the Merchant's responsibility to make sure all products and services meet the platform's quality standards and are delivered as promised.

  • Responsibility for Product Issues: If the Merchant delivers incorrect or missing items, they must fix the issue and cover the additional delivery cost. The same delivery fee as the original will apply for each redelivery to compensate the rider.

7. TERMINATION

Either party may terminate this Agreement by choosing not to renew the subscription at the end of the current billing cycle. No formal notice is required.

8. SUSPENSION OF SERVICE

Belibeli reserves the right to suspend the Merchant’s account in cases of non-payment, violation of platform rules, or failure to meet quality standards. The account will remain suspended until the issue is resolved.

9. NOTICES

All formal notices must be made in writing and sent via email or registered mail. Notices are deemed received 3 days after mailing or upon email receipt confirmation.

10. AMENDMENTS

Any changes to this Agreement must be agreed upon in writing by both parties. Verbal modifications are not valid unless confirmed in writing.

11. ENTIRE AGREEMENT

This Agreement represents the complete understanding between both parties and supersedes any prior agreements or discussions.

12. FORCE MAJEURE

Neither party shall be liable for any failure to perform their obligations due to circumstances beyond their reasonable control, such as natural disasters, war, or pandemics. If the situation continues for more than 30 days, either party may terminate the Agreement without penalty.

13. DISPUTE RESOLUTION

Both parties agree to attempt mediation before resorting to legal action. Any legal disputes will be resolved under Malaysian law.

14. LIMITATION OF LIABILITY

Belibeli shall not be liable for any indirect, incidental, or consequential damages, or any loss of profits, revenue, or data arising from the Merchant’s use of the platform. Belibeli’s total liability, in any case, shall not exceed the amount of the subscription fee paid by the Merchant.

15. DATA PROTECTION

Both parties agree to comply with all applicable data protection laws in Malaysia, including the Personal Data Protection Act (PDPA). Belibeli will ensure that any customer data collected through the platform is securely stored and processed.

 

ACCEPTANCE OF TERMS

By paying the subscription fee and listing your business on the Belibeli platform, you agree to the terms and conditions set forth in this Agreement.
